Congress May Remove Health Insurers’ Antitrust Exemption

In 1945, Congress passed the McCarran-Ferguson Act to protect insurers against antitrust regulations and maintain the states’ control over insurance regulation. With health insurance coverage and healthcare in general in the government’s crosshairs, this immunity is in danger as Congress passed the Competitive Health Insurance Reform Act of 2017 by a vote of 416-7 in March 29, 2017. The act, currently under review by the Senate Judiciary Committee, amends the McCarran-Ferguson Act to bring health insurers back within reach of regulation by the federal government. This rare bipartisan action stems from Democratic affinity for greater federal regulation and the Republican desire to give the government power over insurers to better enable their theoretical replacement of the Affordable Care Act, popularly known as Obamacare.

What to Expect from the Financial CHOICE Act

In 2010, President Barack Obama signed into law the Dodd-Frank Wall Street Reform and Consumer Protection Act to regulate the finance industry following the Worldwide Financial Crisis and subsequent Great Recession. Today, the Republican-dominated legislature is considering a new bill, the Financial CHOICE Act, to replace Dodd-Frank, dramatically decreasing the Federal Government’s ability to regulate Wall Street as is in keeping with Republican business-first doctrine.

SEC Update: Required Revisions to Cover Pages for Exchange Acts Reports, including 10-K, 10-Q and 8-K

The SEC has adopted new rules that change the cover pages of Securities Act registration statements (Forms S-1, S-3, S-4, S-8, S-11, F-1, F-3 and F-4) and Exchange Act periodic reports (Forms 10-K, 10-Q and 8-K), as well as Forms 10, 20-F and 40-F, to include new check boxes for a company to mark whether, at the time of filing, the company is an EGC and whether it has elected not to use the extended transition period to comply with new or revised accounting standards.

What Should You Do? 

All companies, EGCs or otherwise, should immediately contact their financial printing firm to revise their appropriate cover pages. Specialized printing companies employ experts in the ever-evolving rules from the SEC and other regulatory bodies, as well as EDGAR and XBRL, and can ensure a smooth adoption of any new requirements.

Manage New Regulations with Ease: N-PORT & N-CEN

Will you be ready when compliance with new forms begins in 2018?

On October 13, 2016, the SEC adopted a rule requiring new Form N-PORT, a form to be used by non-money market funds to report series level data within 30 days of the end of each month. Form N-PORT will contain detailed information on virtually all of a fund’s portfolio holdings, including risk metrics. While the Form N-Q will be retired, a “human-readable” portfolio of investments will still be required 60 days after the first and third quarters.

While N-PORTs will be due monthly, new Form N-CEN is an annual census form (essentially a modernization and expansion of the N-SAR, which will be retired). This form will need to be filed by the 75th day after the fund’s fiscal year end.
